SEBI Consultation Paper Dated 08/08/2025 – Separate AIF Schemes for Accredited Investors 

It proposes a separate category of Alternative Investment Fund (AIF) schemes exclusively for Accredited Investors (AI). This initiative is a step towards gradually transitioning from a ‘minimum commitment threshold’ to an ‘accreditation status’ as the primary metric for investor sophistication in AIFs. The relaxations for these “AI-only schemes” include an exemption from the requirement to maintain pari-passu rights among investors, allowing the fund term to be extended by up to five years with investor consent, and removing the cap on the maximum number of investors. The feedback/ comments from stakeholders are invited.
