SEBI Notification Dated 13/03/2026 – Amendments to Securities Contracts Regulation Rules 

The notification revise Rule 19(2)(b) relating to minimum public shareholding requirements for companies seeking listing on recognized stock exchanges. It introduces a graded framework linking the minimum public offer to the company’s post-issue capital. Companies with post-issue capital up to Rs 1,600 crore must offer at least 25% of equity or convertible securities to the public. Large companies must progressively increase public shareholding to 25% within specified timelines ranging from three to ten years after listing.
