The circular modifies the requirements for listed entities regarding the minimum information to be provided to the Audit Committee and shareholders for the approval of Related Party Transactions (RPTs). The key change introduces a tiered disclosure standard based on the transaction value. Listed entities must follow the comprehensive RPT Industry Standards for RPTs exceeding a certain threshold, i.e. of the annual consolidated turnover or Rs Ten Crore, whichever is lower. For RPTs at or below this limit, a simpler set of disclosures, as specified in Annexure-13A, is now permitted for both the Audit Committee review and the shareholder approval notice. RPTs that do not exceed Rs One Crore continue to be exempt from these specific requirements.
